End User License Agreement

Fork is an application ("Licensed Application") licensed to you ("End-User/You") by Blue Fork Private Limited ("Fork", "Company", "We", "Us" or "Our"), registered in New Delhi, India, for use only under the terms of this License Agreement.

By downloading the Licensed Application from Apple's software distribution platform ("App Store") and Google's software distribution platform ("Play Store") (collectively, "Stores"), and accessing the services, updates, or related websites, you indicate that you have agreed to be bound by all of the terms and conditions of this License Agreement, and that you accept this License Agreement.

The Company and the End-User shall be jointly referred to as the "Parties".

The Parties acknowledge that the Stores are not bound by any provisions or obligations with regard to the Licensed Application, such as warranty, liability, maintenance, and support thereof.

1. The Application

Fork provides a financial and contract intelligence platform designed for content creators, managers, and brands. The application enables creators to scan brand agreements for risks, analyze deal values, generate and send professional invoices, organize brand campaigns, track deliverables, and communicate securely. Features, utilities, and services offered under the Fork platform are referred to collectively as the "Services".

2. Scope of License

2.1 You are granted a non-transferable, non-exclusive, non-sublicensable license to install and use the Licensed Application on any iOS or Android devices that you own or control as permitted by the Usage Rules of the respective App Store or Play Store.

2.2 This license will also govern any updates of the Licensed Application provided by the Company that replace, repair, and/or supplement the application, unless a separate license is provided for such update.

2.3 You may not share or make the Licensed Application available to third parties. You may not decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof.

3. Technical Requirements

The Licensed Application requires a compatible device with an active internet connection and running a supported version of iOS/macOS or Android OS. The Company reserves the right to modify the technical specifications, features, or system requirements of the Licensed Application at any time.

4. Maintenance and Support

The Company is solely responsible for providing any maintenance and support services for the Licensed Application. The App Store and Play Store have no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

5. Use of Data

You acknowledge that the Company will collect and use technical data and related information, including but not limited to technical information about your device, system, application software, and peripherals, to facilitate software updates, product support, and other services. The collection and use of personal data are governed by our Privacy Policy, accessible at https://app.fork.blue/privacy-policy.

6. User-Generated Contributions

You are solely responsible for any content you upload, store, or transmit through the Licensed Application, including brand contracts, campaign deliverables, and messages (collectively, "Contributions"). You represent and warrant that your Contributions do not infringe the intellectual property rights, privacy rights, or publicity rights of any third party, and that you possess all necessary permissions and licenses for the content you upload.

7. Liability and Disclaimer

7.1 Fork provides contract scanning and deal valuation tools powered by artificial intelligence. All insights, classifications, and financial suggestions are for informational purposes only and do not constitute formal legal, financial, tax, or investment advice. You are solely responsible for reviewing and executing your own business contracts.

7.2 To the maximum extent permitted by applicable law, the Company shall not be liable for any damages resulting from your use of the application, including data loss, security breaches, server outages, or incorrect contract interpretations.

8. Warranty

The Licensed Application is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Indemnification

You agree to defend, indemnify, and hold the Company harmless from and against any loss, damage, liability, claim, or demand (including reasonable legal fees) arising out of your use of the Licensed Application, your Contributions, or your breach of this License Agreement.

10. Force Majeure

The Company shall not be responsible for any default or cessation of functioning of the Services or features in the event of an act of God, war, natural disaster, epidemic, pandemic, change in law, or other events beyond its reasonable control.

11. Legal Compliance

You represent and warrant that: (11.1) you are not located in a country that is subject to a U.S. Government embargo or designated as a "terrorist supporting" country; and (11.2) you are not listed on any U.S. Government list of prohibited or restricted parties.

13. Applicable Law and Jurisdiction

This License Agreement is governed by the laws of India. Any disputes arising out of or in connection with this agreement shall be subject to binding arbitration under Indian law, with the venue of arbitration in New Delhi, India, and exclusive jurisdiction in the courts of New Delhi, India.
