Terms of Use

Blue Fork Private Limited ("Fork", "Company", "We", "Us" or "Our"), a company formed under The Companies Act, 2013 having registered office in New Delhi, India, operates the website(s) having URL https://fork.blue and the web application https://app.fork.blue (collectively, the "Site"), and the mobile application Fork available for downloading on Playstore and Appstore ("Stores").

Features and usage offered to you, available in Fork (App Store, Play Store, and website) are referred to as "Services".

You can contact Fork through email at founder@fork.blue. The Terms stipulated in this Agreement shall constitute a legally binding agreement between you and Fork. You agree that by downloading Fork or using the Services, you have read, understood, and agreed to be bound by all the Terms of Use stipulated herein.

In case of any update or change in the Terms of Use, Fork shall send you a Prior Notice of seven (7) days. On expiry of the Notice period, the changes shall come into effect immediately. However, in case of changes with respect to functionality, security updates, bug fixes, or court orders, a Prior Notice shall not be necessary. Using or accessing Fork after the changes come into effect shall be considered as a deemed acceptance of the modified terms. You consent that you are at least 16 years old. Downloading and usage of Fork for any person below 16 years is strictly prohibited.

1. Services

Fork provides a mobile application and website that deliver financial intelligence, contract scanning, invoice processing, and brand campaign tools for content creators, managers, and brands. The Services enable creators to scan brand agreements for risks, analyze deal values, generate and send professional invoices, organize brand campaigns, track deliverables, and communicate securely. All user accounts on Fork are verified to ensure platform security. Features and usage offered to the End-Users on our website and mobile applications are referred to collectively as the "Services".

2. Intellectual Property Rights

2.1 Fork is the owner of all intellectual property rights including but not limited to all source code, object code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright and trademark laws in India and internationally. Use of the Services is subject to your compliance with these Terms, granting you a non-exclusive, non-transferable, revocable licence to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal and non-commercial use.

2.2 Except as set out in these Terms of Use, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever without our prior written permission. Any request to post or reproduce our Content must identify Fork as the owner and ensure no intellectual property of Fork is infringed.

2.3 Submissions and Contributions: By directly sending us any questions, comments, suggestions, ideas, feedback, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submissions. The Services may invite you to chat, text, create campaigns, send invoices, share media, or access other functionalities during which you may create, submit, post, or transmit content ("Contributions"). By posting Contributions, you grant Fork an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and licence to host, use, copy, reproduce, disclose, sell, publish, broadcast, and distribute such Contributions (including your image, name, and voice) for any purpose, commercial, advertising, or otherwise.

2.4 Fork reserves the right to remove or edit any Submissions and/or Contributions and disable your account at any time without notice if there is a violation of law or breach of these Terms.

3. User Representations

By using the Services, you represent and warrant that: (3.1) you have the legal capacity and agree to comply with these terms; (3.2) you are above 16 years of age; (3.3) you will not access the Services through automated or non-human means; (3.4) you will not use the Services for any illegal or unauthorized purpose; and (3.5) your use of the Services will not violate any applicable law or regulation.

4. Prohibited Activities

You shall not access or use Fork for any illegal purposes or in a manner inconsistent with any applicable laws. You agree not to:

• Systematically retrieve data or other content from Fork to create or compile a collection, compilation, database, or directory without written permission from Fork.
• Trick, defraud, or mislead Fork and other users, especially in any attempt to learn sensitive account information such as passwords or API tokens.
• Circumvent, disable, or otherwise interfere with security-related features of Fork.
• Disparage, tarnish, or otherwise harm, in our opinion, Fork and/or the Services.
• Use any information obtained from the Services in order to harass, abuse, or harm another person.
• Upload or transmit viruses, Trojan horses, or other material that interferes with any party's uninterrupted use of the platform.
• Engage in any automated use of the system, such as using scripts to send messages, or using data mining, robots, or similar data gathering tools.
• Decipher, decompile, disassemble, or reverse engineer any of the software comprising any part of the Services.
• Copy or adapt Fork's software, including but not limited to HTML, JavaScript, or other code.

5. User Generated Contributions

Fork may invite you to chat, create campaigns, send invoices, share media, or utilize other features. You represent and warrant that your Contributions: (5.1) do not infringe third-party intellectual property or moral rights; (5.2) are owned by you or you have the necessary licences; (5.3) are not false, inaccurate, or misleading; (5.4) do not constitute spam, unsolicited advertising, or pyramid schemes; (5.5) are not obscene, lewd, violent, or defamatory; (5.6) do not violate the privacy or publicity rights of any third party; and (5.7) comply with all applicable laws and regulations.

6. Contribution Licence

By posting Contributions on Fork, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and licence to host, use, copy, reproduce, publish, transmit, and distribute such Contributions. You waiver all moral rights in your Contributions. Fork reserves the right to edit, redact, change, re-categorise, or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions.

7. Guidelines for Reviews

If you post reviews, feedback, or ratings on Fork, you agree that: (7.1) you have first-hand experience with the service/brand being reviewed; (7.2) your reviews do not contain profanity, hate speech, or references to illegal activities; (7.3) you are not affiliated with competitors; and (7.4) you do not make conclusions as to the legality of conduct. Fork reserves the right to accept, reject, or remove reviews at its sole discretion.

8. Mobile Application Licence

8.1 Use Licence: If you access the Services on Fork via our mobile app, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the application on devices owned or controlled by you. You shall not decompile, reverse engineer, modify, or create derivative works of the application, or use the application to create a competitive product.

8.2 You acknowledge that the app store distributors (Apple App Store and Google Play Store) are third-party beneficiaries of this licence, and have the right to enforce these terms against you.

9. Third-Party Websites and Content

The Services may contain links to other websites ("Third-Party Websites") and third-party content. Fork is not responsible for the accuracy, content, or reliability of any Third-Party Websites or Third-Party Content. Accessing third-party resources is entirely at your own risk. Any purchases made through Third-Party Websites are exclusively between you and the third party.

10. Advertisers

We may allow advertisers to display advertisements on Fork. Fork simply provides the space to place such advertisements and has no other relationship with the advertisers.

11. Services Management

Fork reserves the right, but not the obligation, to: (1) monitor the Services to check compliance with these Terms; (2) take appropriate legal action against anyone violating these terms; (3) refuse, restrict access to, or disable any Contributions that violate this policy; and (4) manage the Services in a manner designed to protect Fork's rights and property.

12. Privacy Policy

By using Fork, you agree to be bound by our Privacy Policy, which is incorporated into these Terms of Use. Fork is hosted in India and complies with applicable Indian privacy laws.

13. Copyright Infringements

Fork respects the intellectual property rights of others. If you believe that any material available on or through Fork infringes upon any copyright you own or control, please immediately notify us at founder@fork.blue. You may be held liable for damages for material misrepresentations in such notifications.

14. Term and Termination

These Terms of Use shall remain in full force and effect while you use Fork. Fork reserves the right to deny access, terminate accounts, or delete content for any reason or no reason, in our sole discretion, without notice or liability. If your account is terminated, you are prohibited from registering a new account under your name or a false name.

15. Modifications and Interruptions

Fork reserves the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We cannot guarantee that the Services will be available at all times. Fork may experience hardware, software, or maintenance issues resulting in interruptions, delays, or errors. You agree that Fork has no liability for any loss, damage, or inconvenience caused by your inability to access the Services during downtime.

16. Governing Law

These Terms of Use shall be governed by and defined following the laws of India. Blue Fork Private Limited and you irrevocably consent that the courts of New Delhi, India shall have exclusive jurisdiction to resolve any disputes which may arise in connection with these Terms of Use.

17. Dispute Resolution

Any dispute arising out of or in connection with these Terms of Use, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by binding arbitration under the Indian Arbitration Act. The number of arbitrators shall be one (1), mutually selected by both Parties. The venue of arbitration shall be Delhi, India, and the language of the proceedings shall be English.

18. Corrections

There may be information on Fork that contains typographical errors, inaccuracies, or omissions. Fork reserves the right to correct any errors, inaccuracies, or omissions and to change or update the information at any time, without prior notice.

19. Disclaimer

THE SERVICES PROVIDED BY FORK ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, FORK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF. FORK MAKES NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT AND ASSUMES NO LIABILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (2) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY PERSONAL AND FINANCIAL INFORMATION STORED THEREIN, (4) ANY BUGS, VIRUSES, TROJAN HORSES OR THE LIKE TRANSMITTED BY THIRD PARTIES, OR (5) ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED OR TRANSMITTED VIA THE SERVICES.

20. Limitations of Liability

IN NO EVENT WILL FORK OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA ARISING FROM YOUR USE OF FORK, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FORK'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US OR NOT MORE THAN INR 100,000.

21. Indemnification

You agree to defend, indemnify, and hold Fork and its subsidiaries, affiliates, and all of its respective officers, agents, partners, and employees harmless from any loss, damage, liability, claim, or demand, including legal fees, arising out of: (1) your Contributions; (2) use of the Services; (3) breach of these Terms of Use; (4) any breach of your representations and warranties; (5) your violation of the rights of a third party, including intellectual property rights; or (6) any harmful act towards any other user with whom you connected via Fork.

22. User Data

Fork will maintain certain data that you transmit to Fork for the purpose of managing the performance of the Services. You are solely responsible for all data that you transmit or that relates to any activity you have undertaken. You agree that Fork shall have no liability for any loss or corruption of such data.

23. Electronic Communications, Transactions, and Signatures

Visiting Fork, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communication be in writing.

24. SMS Text Messaging

You may opt out of SMS messaging at any time by emailing us at founder@fork.blue. Message and data rates may apply depending on your mobile carrier plan.

25. Miscellaneous

These Terms of Use and any operating rules posted by Fork constitute the entire agreement and understanding between you and Fork. Our failure to enforce any right or provision shall not operate as a waiver. If any provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions. No joint venture, partnership, employment, or agency relationship is created between you and Fork as a result of these Terms.

27. Force Majeure

Fork shall not be held liable for any default, cessation of work, natural disaster, war, floods, earthquake, epidemic, pandemic, change in law, or other event beyond its reasonable control (each a "Force Majeure Event").

28. Severance

In case any provision of these Terms of Use becomes invalid, the remaining provisions shall remain valid and enforceable, and the Parties shall replace the invalid provision with an amendment that approximates their original commercial intentions.

29. Amendment or Modification

Any amendment or modification to these Terms of Use shall be made in writing and signed by both Parties.
